What is in these Terms of Use?

These terms of use (the “Terms”) tell you the rules for using our website www.kera.com.mt (“our site”). These Terms apply to the access and use of the service by customers whether such customers are Property Seekers, Owners or Real Estate Brokers / Agents or any combination of the above.

By using our site, you confirm that you accept these Terms and that you agree to comply with them.

If you do not agree to these terms, you must not use our site.

We amend these terms from time to time. Every time you wish to use our site, please check these terms to ensure you understand the terms that apply at that time. These terms were most recently updated on 04 September 2020. 



Scope of Kera Services

  1. Kera is an online platform that enables registered users who may be either (i) Property Owners (who are seeking to sell or rent their property); (ii) Property Seekers (whether seeking to buy or rent property); or (iii) Real estate brokers, agents, property developers, commission agents (sensar/a) or property managers (hereinafter referred to as “Pros”) to: (i) in the case of Property Owners, publish their property listing (the “Property Listing”) on our site and connect and communicate directly with Property Seekers or Pros interested in the said Property Listing; (ii) in the case of Property Seekers and Pros, to communicate directly with Property Owners who are seeking to sell or rent their property. 

  2. As a Property Owner, Property Seeker or Pro, you may manage your real estate activities through an online personal dashboard. This shall include manging the following facilities: 

    1. Your public profile, which shall include changing your personal information such as name, surname, profile picture, biography and experience. This information shall be visible to all users of the Kera platform; 

    2. Your property database, which shall include adding, deleting or re-activating a Property Listing. The Property Owner may, apart from managing the Property Listing published by him / her, manage the Property Listing published by the Pro to whom he / she has entrusted to act as broker, agent or manager of their property; 

    3. View, add or delete scheduled appointments for the viewing of the property through the online scheduling system. 

  3. As a Property Owner or Pro, you may also manage the following facilities through the online personal dashboard: 

    1. View and carry out actions on the Property Seeker’s, or in the case of Pro who has sought to connect with a Property Owner, the Property Owner’s portfolio such as chat or make direct contact, add a note, view added notes, as well as view the reason for which the initial contact was made; 

    2. Acquisition of Property Seekers, Property Owners or Pros, as applicable, based on their individual requests and which enable acceptance of the Property Seeker or Property Owner by the Pro, as applicable, if the Property Seeker or Property Owner match their requirements; 

    3. Have access to and view reviews received and / or invite the Property Seeker or Property Owner, as applicable, to leave a review or recommendation; 

    4. Your account balance and transactions, which shall include all the ability to view all your transactions, add or change a payment method, as well as keep updated on Our plans to optimise future payments; 

  4. As a Pro, you may also manage the following facilities through the online personal dashboard: 

    1. Your commission, which shall include the ability to add and change your rental and / or sale commissions. Your commission is shown to Property Owners only; and 

    2. Public forms created by Property Seekers, whereby you may view, apply to a Seeker’s form proposing Property Listings or adding new ones. 

  5. A Property Seeker may make use of the Kera platform free of charge. 

  6. The Property Owner shall pay a fee to Kera as a result of: 

    1. A Direct Lead, which shall mean a Property Seeker’s call to action, which may be either a request to chat, request for a call, or the request to view the property. When a Property Seeker requests to make contact with a Property Owner for a chat, call or a property viewing, the Property Owner shall receive a notification via email or on the online dashboard, informing the Property Owner that the Property Seeker wishes to make contact with the Property Owner for a chat, call or property viewing. The Property Owner must pay the fee (as hereunder described) to chat, call or view the property. 

  7. The Pro shall pay a fee to Kera as a result of any of the following: 

    1. A Direct Lead from a Property Seeker’s call to action, which may be either a request to chat, request for a call, or a request to view the property. When a Property Seeker requests to make contact with a Pro for a chat, call or a property viewing, the Pro shall receive a notification via email or on the online dashboard, informing the Pro that the Property Seeker wishes to make contact with the Pro for a chat, call or property viewing. The Pro must pay the fee (as hereunder described) to chat, call or view the property and to have the Property Seeker in his client’s list. 

    2. A Property Lead from a Property Owner’s call to action, which may be either a request to chat, call or a request for the Pro to manage the Property Owner’s property. When a Property Owner requests to make contact with a Pro for a chat, call or a request for the Pro to manage the Property Owner’s property, the Pro shall receive a notification via email or on the online dashboard, informing the Pro that the Property Owner wishes to make contact with the Pro for a chat, call or to assign the Pro the property. The Pro must pay the fee (as hereunder described) to chat, call or view the property and to have the Property Owner in his client’s list. 

  8. As the provider of the Kera platform, Kera does not own, create, sell, resell, provide, control, manage, offer, deliver or supply any Property Listing. Property Owners are responsible for their Property Listing. When Property Seekers and Pros make contact with Property Owners and any subsequent contractual relationship that may be entered into, they are entering into direct contact or a subsequent contractual relationship directly with each other. Kera is not and does not become a party to, and neither does it enter into a contractual relationship between Property Owners, Property Seekers and Pros, nor is Kera a real estate broker or agent for the Property Owner, Property Seeker or Pros. 

  9. Kera has no control over and does not guarantee: (i) the existence, quality, safety, suitability, or legality of any of the Property Listings on its website; (ii) the truth or accuracy of any Listing descriptions, ratings or reviews (as hereunder described); (iii) or the performance or conduct of any Property Owner, Property Seeker or Pro. 

  10. Kera does not endorse any Property Owner, Property Seeker or Pro. Any references to a Property Owner, Property Seeker or Pro being verified only indicate that the Property Owner, Property Seeker or Pro has completed a relevant verification or identification process. Any such description is not a guarantee of the Property Owner, Property Seeker or Pro’s identification, trustworthiness, safety or suitability. Images of the Property Listing are intended only to indicate a photographic representation of a Property Listing at the time the photograph was taken and are therefore not an endorsement by Kera of any Property Owner. 

Eligibility and Verification

  1. In order to access and use Kera or register an account, you must be an individual who is at least eighteen (18) years old. 

  2. You may choose to have your identity verified through the Kera platform. Users of the Kera platform shall only be able to identify that you are verified but may not have access to your identification number or documents. 

  3. Verification is done through a third-party service and we do not assume any responsibility for the confirmation of the identity of a Property Owner, Property Seeker or Pro. 

Account Registration

  1. You must register an online account to access and use certain features of Kera, such as publishing a Property Listing and the facility to contact Property Owners, Property Seekers or Pros, as applicable. 

  2. Registration is only permitted for individuals who are 18 years or older. 

  3. You must provide accurate, current and complete information during registration and keep your account information up to date. You must also provide a profile image which is appropriate and makes you clearly identifiable and visible, and therefore, for example, your face must not be obscured (even partially) by sunglasses or hats. In this respect, insofar as permitted by applicable laws, we may, but have no obligation to: (i) ask you to provide identification or other information as we may deem fit; (ii) undertake checks designed to verify your identity or background; (iii) screen you against third-party databases or other sources.

  4. You may not register more than one account or transfer your account to another individual. 

  5. You are solely responsible for maintaining the confidentiality and security of your account details and you may not disclose such details to any third party. You must notify Kera immediately is your account details have been lost, stolen or if your account is otherwise compromised. 

  6. You can register an account using an email address and password, or through your account with certain third-party social networking services such as Facebook and Google. Your email address will not be made public. 

  7. The contact number that you provide when registering an online account shall only be made visible to Property Owners, Property Seekers or Pros, as applicable, once you accept to connect with the Property Owner, Property Seeker or Pro. 


Fees and Kera Coins 

  1. For each Direct Lead made from a Property Seeker’s call to action, the Property Owner or the Pro, as applicable, shall pay to Kera, via the Kera platform: (i) one hundred (100) Kera coins (equivalent to €10) for each Direct Lead made for a rental listing; or (ii) two hundred (200) Kera coins (equivalent to €20) for each Direct Lead made for a sale listing. 

  2. For each Property Lead made, the Pro shall pay to Kera, via the Kera platform: (i) two hundred and fifty (250) Kera coins (equivalent to €25) for each Property Lead made for a rental listing; or (ii) five hundred (500) Kera coins (equivalent to €50) for each Property Lead made for a sale listing. 

  3. Property Owners and Pros may top-up their account through the online dashboard by purchasing Kera coin bundles in advance as follows:

Terms for Property Owners

Property Owners who use our site must agree with the following terms: 

  1. When creating a Property Listing you must provide complete and accurate information about your property. 

  2. In relation to Property Owners who are seeking to lease their property, any deficiencies, restrictions, and requirements are also to be divulged on the Property Listing. 

  3. You are solely responsible for setting a price for your Property Listing. 

  4. Images uploaded on your Property Listing must accurately reflect the quality and condition of your property. 

  5. Any content you upload to our site will be considered non-confidential and non-proprietary. 

  6. Maintaining a profile on our site is free. However, if you choose to directly contact a Property Seeker or Pro from our site, then you agree to pay us the Fees as established in the section entitled “Fees and Kera Coins” above, which shall be deducted from your online account. 

  7. We retain the right to accept, reject or remove any Property Listing you make on our site if, in our opinion, your post does not comply with our “Terms for Property Owners and Property Seekers” paragraph 5 hereunder. 

Terms for Brokers and Agents (“Pros”)

Real estate professionals who use our site must agree with the following terms: 

  1. You grant Us permission to display on our site information that you have supplied to us related to the commissions you charge and information as to whether you are a real estate agent of an agency, the agency you work with, or whether you work on a freelance basis. You also grant Us permission to allocate reviews to your profile created by Property Seekers or Property Owners and which refer to you (for more information see “Ratings and Reviews” hereunder). This information helps Property Owners in choosing whether to assign their property to you. 

  2. Maintaining a profile on our site is free. However, if you choose to directly contact a Property Seeker or Property Owner from our site, then you agree to pay us the Fees as established in the section entitled “Fees and Kera Coins” above, which shall be deducted from your online account. 

  3. You are responsible for following all applicable laws and regulations on performing due diligence on Property Seekers or Property Owners. You are also responsible for the real estate brokerage services provided to Property Seekers or Property Owners referred through our site and you agree to hold indemnify, defend, and hold Us harmless from any claims, costs and damages incurred by Us arising from claims by Property Seekers or Property Owners regarding the brokerage services you have provided to them. 

  4. Your participation in our service is voluntary and can be terminated by either of us for any reason at any time through [email protected]

  5. Any information that you provide Us shall be accurate, complete, and owned by you, and you agree to update any information that is or becomes inaccurate. You hereby grant Us permission to display your information (including your name, photograph, contact information and such other information as may be supplied by you on our site www.kera.com.mt

  6. You agree that We may modify the services provided, these Terms or the Fee charged for our services at any time. We will send you an email thirty (30) days in advance of any significant changes of our services, Terms or Fees, and you agree that your continued use of our services after the thirty (30) day period means that you accept the new terms and any subsequent referrals or services shall be governed by the new terms. 

  7. Whenever you make use of a feature that allows you to upload content to our site, or to make contact with Property Seekers or Property Owners, you must comply with the following: 

    1. You must not provide fraudulent, false, misleading or deceptive information; 

    2. You must not attempt to impersonate another person, account or real estate broker, agent, property developer, commission agent (sensar/a) or property manager. 

Terms for Property Owners and Property Seekers 

All Property Seekers and Property Owners who use our site must agree with the following terms:

  1. You grant us permission to share your contact information with a Pro who seeks to establish contact with you. By providing your personal information to us through the personal dashboard, you agree to be contacted by a Pro via phone, email, mail or other reasonable means. 

  2. The information that you provide on your profile must be accurate and complete in order to enable Pros to contact you quickly and efficiently. Kera reserves the right to suspend or terminate access to anyone who supplies information that is inaccurate and misleading. 

  3. Kera does not perform real estate brokerage or agency services. The Pros that you establish contact with are not endorsed or recommended and Kera shall not be a party to any terms of any agreement between you and a Pro. 

  4. Your participation in our service is voluntary and can be terminated by either of us for any reason and any time through [email protected] 

  5. Any information that you provide Us shall be accurate, complete, and owned by you, and you agree to update any information that is or becomes inaccurate. You hereby grant Us permission to display your information (including your name, photograph, contact information and such other information as may be supplied by you on our site www.kera.com.mt

  6. You agree that We may modify the services provided, these Terms or the Fee charged for our services at any time.   7. Whenever you make use of a feature that allows you to upload content to our site, you must comply with the following: 

    1. You must not provide fraudulent, false, misleading or deceptive information; 

    2. You must not upload content that is created solely for the purpose of advertising or other content such as company logos, links or company names; 

    3. You must not attempt to impersonate another person, account or entity; 

    4. Property Listings must include information that is relevant to the property and must not provide fraudulent, false, misleading or deceptive information.  

Managing your Property Listing (for Pros and Property Owners)

  1. Kera provides tools that allow you to set up and managing your Property Listing. The Property Listing must include complete and accurate information about the property. You are responsible for keeping your Property Listing information, including photos, up to date and accurate at all times. 

  2. The information that you must provide on the Property Listing shall include the following: 

    1. A real price for the property, and therefore, you must not provide a rental price for a sale listing (or vice versa) or a symbolic price (for example, €1); 

    2. Photos, videos, floor plans and virtual tours of the property shall be of good quality, must be clear and not blurred and must also represent and clearly identify the property being listed. You will not be permitted to upload photos of logos (in the case of Pros) or other visual representations which are irrelevant to the Property Listing or which do not represent the property being listed. 

    3. The square metreage of the property which shall be a reasonably accurate representation of the property being listed; 

    4. The category of the property being listed (example, flat, terraced house, villa); 

    5. The accurate location of the property which shall also be indicated on a map. 

  3. The Property Listing shall be approved by Kera prior to publication in order to ensure that the information provided by you is not misleading to the users of the Kera platform. 

  4. Kera may, at its sole discretion, refuse to approve a Property Listing or shall remove a Property Listing, in the event of the following: 

    1. The price indicated for the Property Listing is not real, is erroneous (for example, a rental price indicated for a property for sale) or is symbolic; 

    2. The Pro or the Property Owner includes details such as a telephone number, or email address to the Property Listing or includes details of another estate agent, agency, broker or another individual to the Property Listing. For the avoidance of doubt, a Property Listing may also be removed if the description includes references to, for example “for more information contact X.” 

    3. The photos, videos, floor plans and virtual tours of the property are unclear and do not clearly represent and identify the property being listed. As stated in 2(b) above, photos of logos or other visual representations which do not clearly identify the property being listed or are irrelevant to the Property Listing may not be uploaded.

    4. The Property Listing is no longer available and Kera identifies that the property in question has already been rented or sold, as applicable. 

    5. Property Listings which contain references to any third-party websites in their descriptions. This shall also include references to the estate agency with which the Pro is engaged with, as well as any references to sponsored websites or the insertion of sponsored links. 

    6. The Property Listing does not contain an accurate location in which the property is situated.

    7. The Property Listing does not contain an accurate description of the property (for example, the property is listed as a terraced house but is in fact a maisonette).

    8. The square metreage of the property is inaccurate. 

Ratings and Reviews 

  1. After having established direct contact with Pros, Property Seekers may leave a public review (the “Review”) about the Pro as well as a ranking from 0 to 5. The views and Reviews left by Property Seekers do not represent our views or opinions. Neither are the reviews approved or verified by Kera for accuracy and may therefore be incorrect or misleading. Kera retains the right to accept, reject or remove a Review. 

  2. Reviews by Property Seekers must be accurate, objective and must not contain any offensive or defamatory language. Reviews must be useful, informative, and not expose Kera and its users to harm. Further, reviews must not be manipulated and must be personal to the experience individual Property Seeker. The Property Seeker shall not instruct a third party to write a positive or negative Review about a Pro. 

  3. Reviews must contain relevant information about the Pro as otherwise the review will be removed. To keep reviews relevant, the following are recommended to be avoided: 

    1. Comments on a Pro’s social, political or religious views; 

    2. Profanity, name calling, and assumptions on the Pro’s character or personality; 

    3. Circumstances that are outside of the control of the Pro;

    4. Content which is not relevant to the services provided by Kera; 

    5. Comments on past experience with Pros which do not relate to the Pro that is being rated or to the Services provided by Kera. 

Upon the receipt of a report of a review that violates this section, the review may be removed. Repeated violations may lead to the suspension or permanent deactivation of the account of the Property Seeker. 

  1. Reviews that contain mostly irrelevant information are also subject to removal, but only where the otherwise relevant information would not be expected to meaningfully inform potential Property Seekers on the Pro. 

  2. Reviews that are biased and exhibit indications of extortion, conflicts of interest or direct competition are prohibited and will be removed. Individuals or entities who are affiliated with the Pro are not permitted to post reviews on the Pro. Pros are likewise not permitted to post reviews of other Pros. 

  3. The incentivisation of positive reviews as well as the influencing of another’s review with the promise of compensation are not permitted and will be removed. 

  4. The use of a second account by the Pro to leave a review for the Pro as well as the coordination with business partners to get positive reviews are also not permitted and will be removed.

  5. Reviews are part of the Pro’s profile on Kera and may also be published on Kera such as on the Property Listing page together with other information such as average response time and other such information. 

  6. To report a review for violating Kera’s policy, contact Kera here. 

  7. Kera expects all its users to post reviews that contain accurate and objective information. Kera does not mediate disputes concerning truth or fairness of a review. 

Your account

  1. If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential. You must not disclose it to any third party.

  2. We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these terms of use.

  3. If you know or suspect that anyone other than you knows your user identification code or password, you must promptly notify us at [email protected].

  4. If you: (i) breach these Terms; (ii) violate applicable laws or regulations; (iii) Kera believes it is reasonably necessary to protect Kera, the users of Kera or third parties, Kera may, with or without prior notice: 

    1. Suspend or limit your access to or use of Kera and your account; or

    2. Suspend or remove your Property Listing or reviews. 

  5. Kera may also suspend or limit your access to or use of Kera and your account or suspend or remove your Property Listing or reviews in the following circumstances: 

    1. Your personal information is not accurate, current or is incomplete; 

    2. Your profile image is not appropriate, or you are not clearly identifiable; 

    3. You have a high number of unanswered requests from users of Kera, whether the requests refer to a request to chat, call, manage or view a property; 

    4. We receive a report in your regard from a user of Kera on unsuitable behaviour, which shall include but shall not be limited to insults, discriminatory remarks, racial slurs, or threats of whatever nature. 

We are not responsible for websites we link to

Where our site contains links to other sites and resources provided by Agents or Brokers, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them.

We have no control over the contents of those sites or resources.

How to complain about information uploaded by Property Owners, Property Seekers or Pros

If you wish to complain about information uploaded by Property Owners, Property Seekers or Pros, please contact us on [email protected].

Our responsibility for loss or damage suffered by you

  1. Kera and the information, software, products and services associated with it are provided as is. Kera disclaims any warranty of any kind, whether express or implied, as to any matter whatsoever relating to our site and any information and services provided herein. Use of Kera’s service is at your own risk. We are not liable for any direct, indirect or consequential damages or other injury arising out of or in any way connected with the use of our services or with the delay or inability to use the web site, or for any information, and services obtained through our site, or otherwise arising out of the use of our site, whether resulting in whole or in part, from breach of contract, tort, negligence, liability or otherwise.

  2. In no event shall Kera be liable for loss of profits or any incidental or consequently damages (howsoever arising) arising out of or in connection with these Terms. 

Indemnity

  1. To the maximum extent permitted by Maltese law, you agree to release, defend, indemnify and hold Kera, its officers, directors and employees harmless from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with: (i) your breach of these Terms; (ii) your improper use of the Kera platform; (iii) your interaction with any Property Owner, Property Seeker or Pro; (iv) your breach of any laws and regulations. 

How we may use your personal information

We will only use your personal information as set out in our Privacy Policy.

Which country's laws apply to any disputes?

These Terms are governed by the laws of Malta. Any disputes arising out of or in connection to these Terms shall be subject to the exclusive jurisdiction of the Courts of Malta.
